These terms cover how you use OkayFlow — your account, acceptable use, paid plans billed through Lemon Squeezy, and what an approval receipt is and isn’t. They’re written to be readable, but they are the actual terms of use for the Service.

01The agreement

These Terms of Service (“Terms”) are an agreement between you and Eastbase Studio(“OkayFlow,” “we,” or “us”) covering your use of the OkayFlow website, app, and the client review links, receipts, and approval packets it generates (together, the “Service”). By creating an account or using the Service, you agree to these Terms and to our Privacy Policy.

OkayFlow is operated by Eastbase Studio. You can reach us about these Terms at support@eastbase.studio. If you are using OkayFlow on behalf of a business, you confirm you are authorized to accept these Terms for that business.

02What OkayFlow is

OkayFlow is a client-approval portal for freelancers and small studios. You share deliverables as links or text, set how many revision rounds a project includes, and your client reviews the work through a no-login link — requesting changes or approving. An approval produces a timestamped, version-pinned approval receipt.

An approval receipt is evidence, not a signature. It records who approved which exact version of a deliverable, the UTC time, and the terms shown at that moment. It is not an electronic signature, a contract, legal advice, debt collection, or a guarantee of payment, and we do not promise it carries any particular legal weight in any forum or jurisdiction.

OkayFlow is a record-keeping tool that sits alongside your own paperwork. It does not replace your client contract, statement of work, invoice or payment terms, professional advice, or legal review — you remain responsible for those. Revision counters and approval terms in OkayFlow are workflow tools: they help you and your client stay on the same page, but they do not automatically amend, enforce, or override the agreement you have with your client. You stay responsible for your scope, pricing, revision, and payment terms.

03Your account

You need an account to use the owner side of OkayFlow. You must provide accurate information, keep your credentials secure, and you are responsible for activity under your account. You must be at least 18 years old (or the age of majority where you live) to use the Service.

Your clients do not need an account: they act through the unguessable links you choose to share, and you can revoke or regenerate those links at any time.

04Your content and your clients

You keep ownership of everything you bring to OkayFlow: your workspace name and logo, project and client details, the deliverable links and text you add, and the approval records you generate (“Your Content”). You grant us only the limited rights needed to host, process, and display Your Content so the Service can function.

You are responsible for making sure that:

  • you have the right to share the deliverables and links you add, and to enter your clients’ names and email addresses;
  • your use of the Service complies with any agreements you have with your clients and with applicable law; and
  • you have a lawful basis to send the notification and reminder emails OkayFlow sends to your clients on your behalf.

Deliverables are typically links to third-party tools (Figma, Google Drive, Loom, staging URLs, and so on). We do not control that third-party content and are not responsible for it.

06Payments between you and your client

Any payment link, invoice link, or payment instruction you add to a project is handled entirely outside OkayFlow by you or the provider you choose. OkayFlow does not process your clients’ payments, verify payment status, collect debts, hold or escrow funds, or resolve payment disputes between you and your client. An approval receipt records that a deliverable was approved; it does not move money and does not guarantee that you will be paid.

07Acceptable use

You agree not to use the Service to:

  • break the law or infringe anyone’s rights;
  • upload or share malware, or content that is unlawful, deceptive, or harmful;
  • send spam, or send review or reminder emails to people who have not agreed to hear from you;
  • probe, scrape, overload, or attempt to bypass the rate limits or access controls that protect public links and accounts; or
  • resell or white-label the Service except as expressly permitted.

We may suspend or limit accounts that put the Service, other users, or their clients at risk.

08Plans and billing

OkayFlow offers a Free plan and paid subscriptions (Starter and Studio). Plan limits and what each plan includes are described on our pricing page. Paid plans are billed monthly in advance and renew automatically until you cancel.

Payments are handled by Lemon Squeezy, our merchant of record, which collects payment, issues invoices, and handles applicable taxes. Your purchase is also subject to Lemon Squeezy’s terms. Cancellations and refunds are covered by our Refund & Cancellation Policy.

We may change plan pricing or features; if a change affects your active plan, we will give reasonable notice and it will not apply retroactively to a period you have already paid for.

09Your data and downgrades

Plan limits gate volume, never your existing data. Archiving a project or downgrading your plan does not delete or lock the work and receipts you have already created — a downgrade simply limits how many active projects you can run. Issued receipts are immutable: once a receipt is created we do not alter it, and a new version of a deliverable always goes back for a fresh review rather than inheriting an old approval.

10Our intellectual property

The Service itself — the software, design system, OkayFlow name, and the “OK” stamp and other brand marks — belongs to us or our licensors. These Terms do not give you any right to use our brand or copy the Service beyond using it as intended.

11Disclaimers

The Service is provided “as is” and “as available.” To the fullest extent permitted by law, we disclaim all warranties not expressly stated here, and we do not warrant that the Service will be uninterrupted, error-free, or that an approval receipt will be accepted as proof in any particular forum. We are not responsible for third-party services you connect or link to.

12Limitation of liability

To the fullest extent permitted by law, OkayFlow will not be liable for indirect, incidental, special, or consequential damages, or for lost profits, revenue, data, or goodwill — including any payment dispute between you and your client. Our total liability for any claim relating to the Service is limited to the amount you paid us for the Service in the twelve months before the claim arose.

13Termination

You can stop using OkayFlow and close your account at any time. We may suspend or terminate access if you materially breach these Terms or use the Service in a way that creates risk or legal exposure. On termination, your right to use the Service ends; sections that by their nature should survive (such as ownership, disclaimers, and limitation of liability) continue to apply.

14Changes and governing law

We may update these Terms as the product evolves. When we make material changes, we will update the effective date above and, where appropriate, notify you. Continuing to use the Service after a change means you accept the updated Terms.

These Terms are governed by the laws of Vietnam, without regard to its conflict-of-laws rules. You and Eastbase Studio submit to the exclusive jurisdiction of the competent courts of Vietnam for any dispute arising out of or relating to these Terms or the Service, except where mandatory law in your country of residence gives you the right to bring a claim there.
